MEDICAL EMERGENCY DISCLAIMER

DO NOT USE THIS WEBSITE, WEBSITE FORMS, EMAIL, PATIENT REVIEWS, CHAT FEATURES, OR NON- SECURE MESSAGES FOR MEDICAL EMERGENCIES, URGENT MENTAL HEALTH CRISIS CARE,
MEDICATION EMERGENCIES, OR TIME-SENSITIVE CLINICAL COMMUNICATIONS.

If you are experiencing a life-threatening medical emergency, severe mental health crisis, suicidal
thoughts, thoughts of harming yourself or others, a substance use-related emergency, an adverse
medication reaction, or any other urgent clinical situation, please immediately:

● Call 911 (or your local emergency services).
● Go to the nearest hospital emergency room.
● Call or text 988 to reach the Suicide & Crisis Lifeline (US).

Our Site, contact forms, website chat or messaging tools, review channels, and email systems are
monitored only during standard business hours and are not equipped to handle psychiatric
emergencies, urgent medication issues, withdrawal or intoxication concerns, or other time-
sensitive clinical needs. Current patients should follow the emergency and urgent-care
instructions provided in their patient forms and patient portal materials.

02

NO MEDICAL ADVICE OR DOCTOR-PATIENT RELATIONSHIP

The content on this Site—including text, graphics, images, blog posts, provider biographies, descriptions of psychotherapy, substance use disorder treatment, telehealth, medication management, transcranial magnetic stimulation (TMS), evaluations, services for adults and minors, and other materials—is provided for general informational and educational purposes only.

● No Medical Advice: Nothing on this Site constitutes professional medical advice, psychiatric diagnosis, medication recommendation, psychotherapy, substance use disorder counseling, TMS recommendation, medical necessity determination, prescription, or treatment. Site content may not reflect the most current clinical, legal, or insurance information and should not be relied upon as a substitute for evaluation by a qualified health care professional.

● No Relationship: Your use of this Site, including viewing content, submitting information through a contact form, requesting an appointment, using a scheduling link, interacting with a chat feature, leaving or reading a review, or sending an email, does not create a physician-patient, therapist-patient, provider-patient, or other treatment relationship between you and Adelpha Psychiatric Group or any of its clinicians.

● A formal treatment relationship is only established after the Practice accepts you as a patient, you complete the applicable intake and clinical evaluation process, and you sign or otherwise agree to the Practice’s applicable clinical consent, telehealth, financial, privacy, arbitration, and other patient documents. Availability of an appointment, website description of a service, or automated confirmation does not guarantee that any particular service, medication, diagnosis, level of care, or treatment modality is clinically appropriate or available to you.

03

USER ACCOUNTS & PATIENT PORTALS

If you utilize our Site to access an external patient portal or platform (including scheduling, telehealth, billing, prescription-related workflows, forms, secure messaging, or other services made available through vendors such as AthenaHealth, Kyruus Health, NeuroStar, or other platforms we may use):

● You are solely responsible for maintaining the confidentiality of your portal login credentials.

● You agree to accept responsibility for all activities that occur under your account.

● You must notify us immediately if you suspect any unauthorized use of your portal account.

● Patient portals, telehealth tools, billing systems, TMS-related systems, artificial intelligence-
assisted documentation tools, and other third-party platforms may be governed by their own terms, privacy notices, consent forms, and security practices. You are responsible for reviewing those terms, and we are not responsible for a third party’s services except to the extent required by applicable law or our agreements with that vendor.

● By requesting or booking an appointment through our Site or associated patient portal, you acknowledge that any appointment, cancellation, billing, insurance, telehealth, prescription, controlled-substance, minor-consent, and clinical policies are governed by the Practice’s then-current patient forms and policies.

04

APPOINTMENT CANCELLATION & BILLING POLICY

By requesting or booking an appointment through our Site or associated patient portal, you agree to our practice’s billing and cancellation policies:

● Cancellation Window: You must cancel or reschedule appointments at least 48 hours
prior to your scheduled time.

● Late Fees: Failure to cancel within this window will result in a late cancellation or no-show
fee of $200 for psychiatry appointments and $150 for marriage and family therapy
appointments, which is not covered by insurance, except where prohibited by law or
payer contract.

● Payment Responsibility: You are responsible for all copays, coinsurance, deductibles, non-
covered services, and private-pay fees at the time of service , and for any disclosed late-
cancellation, missed-appointment, and other charges, as further described in the Practice’s Office Policies and Procedures and applicable patient forms. Self-pay and
uninsured individuals may request a good faith estimate of expected charges as provided
by law.

All original content, logos, branding, trade names, service descriptions, provider biographies,
graphics, photographs, videos, text, forms, page layouts, and design elements on this Site are the
intellectual property of Adelpha Psychiatric Group or its licensors and are protected by copyright,
trademark, and other laws. You may not copy, scrape, frame, modify, distribute, reproduce, or
create derivative works from any part of this Site without our express written permission, except for
personal, noncommercial use in evaluating or accessing the Practice’s services. You may not use
our name, logos, provider names, or content in a way that implies endorsement or a treatment
relationship.

Our Site may link to, embed, or interoperate with external, third-party software, websites, or
services, including patient portal, scheduling, telehealth, billing, electronic health record, secure
messaging, reviews, website design, marketing, analytics, chat, artificial intelligence-assisted
documentation, TMS-related, and referral or directory tools. Current vendors may include
AthenaHealth, Pixsan, Intercom, Microsoft, Heidi Health, Kyruus Health, NeuroStar, Google products,
and other service providers we may add or replace over time.

We do not control, endorse, or assume responsibility for the content, privacy policies, or practices
of any third-party websites or services.

You access third-party links at your own risk. Third-party services may collect information directly
from you and may use cookies, pixels, analytics tools, session-replay tools, chat technologies,
advertising or conversion tracking, maps, embedded content, or similar technologies. Our use of
these tools is described in a separate Website Privacy Policy and, where applicable, in HIPAA/CMIA
notices and vendor agreements.

07

DISCLAIMER OF WARRANTIES

The Site and all content, materials, and features are provided on an “as is” and “as available”
basis without warranties of any kind, whether express or implied. To the fullest extent permitted by
law, the Practice disclaims all implied warranties, including warranties of merchantability, fitness
for a particular purpose, title, non-infringement, accuracy, and uninterrupted or error-free
operation. We do not warrant that the Site will be secure, available at any particular time, or free of
viruses or other harmful components. Nothing in this section limits any right, remedy, or protection
that cannot be waived or disclaimed under California or federal law, including laws governing
professional negligence, health care services, privacy, or consumer protection.

08

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Adelpha Psychiatric Group and its applicable owners,
clinicians, employees, contractors, and agents shall not be liable for any indirect, incidental,
consequential, special, exemplary, or punitive damages arising out of or relating to your access
to or use of, or inability to use, the Site; your reliance on Site content; any delay in receiving or
responding to any website submission; any interruption, error, security incident, or unavailability of
the Site or a third-party platform; or any information contained on or linked from the Site. Nothing in these Terms is intended to limit any rights, remedies, or duties that cannot be limited under
California or federal law, including laws governing professional negligence, consumer protection,
privacy, confidentiality, health care services, or patient rights. These Terms do not modify any
separately executed patient arbitration agreement or clinical consent except to the extent
expressly stated in those documents.

09

INDEMNIFICATION

To the extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the
Practice and its owners, clinicians, employees, contractors, and agents from and against any
third-party claims, damages, liabilities, costs, and expenses (including reasonable attorneys’
fees) arising out of your misuse of the Site, your violation of these Terms, your infringement of any
third-party right, or your submission of unlawful, false, or infringing content. This provision does not
apply to any claim arising from the Practice’s own professional negligence or to any right that
cannot be waived under applicable law.

10

GOVERNING LAW & DISPUTE RESOLUTION

These Terms are governed by and construed in accordance with the laws of the State of
California, without regard to its conflict of law principles. Subject to any applicable patient
arbitration agreement, privacy law, professional negligence rule, or non-waivable consumer
protection requirement, any legal action arising solely from your use of this Site or these Terms
must be filed in a court of competent jurisdiction in California. This governing-law and venue
provision is intended for website disputes only and does not determine where clinical care may be
provided or where any future out-of-state location may be regulated.

11

CHANGES TO THESE TERMS

We reserve the right to modify these Terms at any time. Any changes will be posted on this page
with an updated "Last Updated" date. Your continued use of the Site after changes are posted constitutes your acceptance of the new Terms. If the Practice expands outside California, we may update these Terms, website notices, patient forms, telehealth disclosures, licensure information,
privacy disclosures, and state-specific terms to reflect additional jurisdictions.

12

MISCELLANEOUS

Severability: If any provision of these Terms is found to be unenforceable or invalid, that provision
will be limited or eliminated to the minimum extent necessary, and the remaining provisions will
remain in full force and effect.

Entire Agreement; Order of Precedence: These Terms, together with any policies referenced here,
constitute the entire agreement between you and the Practice regarding your use of the Site. If
there is a conflict between these Terms and any signed patient consent, financial, telehealth,
privacy, or arbitration document, the patient document controls with respect to your care.
No Waiver; Assignment: Our failure to enforce any provision is not a waiver of that provision. You
may not assign these Terms without our consent; we may assign them in connection with a
reorganization, merger, or transfer of the Practice.

Electronic Communications: By using the Site or providing your contact information, you consent
to receive communications from us electronically for non-clinical, administrative purposes, and
you agree that electronic communications satisfy any legal requirement that such
communications be in writing, except where a signed or secure format is required by law.

WEBSITE PRIVACY, FORMS, MARKETING, REVIEWS & ACCEPTABLE USE

Important Privacy Notice: Please use website forms, chat features, review links, and general
email only for general, non-urgent administrative inquiries or appointment requests. Because
standard online forms and email are not encrypted or fully secure, do not include sensitive
medical history, symptoms, substance use information, medication details, minor-related
information, insurance details, images, documents, or other private health information unless the
Practice expressly provides a secure channel for that purpose. If you are a current patient, please
use the secure patient portal for all clinical communications.

Website Privacy Policy: These Terms are not a privacy policy. The Practice maintains a separate
Website Privacy Policy describing what information the Site collects; how cookies, analytics,
tracking pixels, chat tools, embedded content, Google products, marketing vendors, and other
technologies are used; how users can exercise applicable privacy choices; and how website data
relates to HIPAA, the California Confidentiality of Medical Information Act (CMIA), the California
Online Privacy Protection Act (CalOPPA), the California Consumer Privacy Act/California Privacy
Rights Act (CCPA/CPRA) if applicable, and other privacy laws.

Reviews, Testimonials & Marketing: Reviews, testimonials, star ratings, directory listings, and
marketing materials may be managed through Google or vendors such as Pixsan or other service
providers. Patient reviews are voluntary, should not be used in a way that discloses protected
health information without valid authorization, and should comply with applicable California and
federal laws, including HIPAA/CMIA confidentiality rules, professional responsibility rules, consumer
protection laws, Federal Trade Commission endorsement guidance, and health care fraud and
abuse laws to the extent any referral, remuneration, discount, or thing of value is involved. The
Practice does not provide clinical advice through reviews and may not be able to respond to
reviews in a way that confirms or denies patient status.Acceptable Use: You agree not to misuse
the Site; attempt to gain unauthorized access to the Site, patient portal, systems, or accounts;

submit false, misleading, threatening, harassing, defamatory, obscene, discriminatory, or unlawful
content; interfere with Site security or operation; scrape or harvest content or data; impersonate
another person; upload malware; or use the Site for any unlawful, commercial, marketing, or
referral activity not authorized by the Practice.

Children and Minors: The Site is intended for individuals age 18 and older. It is not directed to
children, and we do not knowingly collect personal information from children through the Site. If
you are under 18, please use the Site only with the involvement of a parent or legal guardian. Care
for minor patients, including any applicable minor-consent services, is governed by the Practice’s
clinical consent and intake documents and applicable law.
